TERMS
OF USE
1.INTRODUCTION
Welcome
to the official website of Ikoyi Club 1938 (“the Club”, “we”, “our”, “us”).
These Terms of Use (“Terms”) govern your access to and use of our website and
mobile application(s) (hereinafter referred to as, the “Sites”).
Ikoyi
Club 1938 is an elite private members’ club established in 1938 and located in
Ikoyi, Lagos, Nigeria. The Club provides recreational, sporting, social,
hospitality, and event-hosting facilities for its members and their guests. In
the course of carrying out these activities, the Club collects and processes
personal data relating to members, prospective members, guests, employees,
contractors, vendors, and other stakeholders.
2.ACCEPTING
THESE TERMS
These
Terms of Use constitute a legally binding agreement between you and the Club in
relation to your access to and use of the Club’s website and any related
digital platforms (collectively, the “Site”). By accessing, browsing, or using
the Site, you confirm that you have read, understood, and agree to be bound by
these Terms, as well as any applicable Privacy Policy or related policies
published by the Club from time to time.
You
represent and warrant that you have the legal capacity and authority to enter
into a binding agreement under applicable law. If you do not agree with any
part of these Terms, you must immediately discontinue access to and use of the
Site.
Continued
access to or use of the Site following any amendment to these Terms shall
constitute your deemed acceptance of such amended Terms.
3.MEMBERSHIP
INFORMATION
3.1
Membership Eligibility
Membership
of the Club is strictly selective and not open to the general public. Admission
into the Club is subject to eligibility criteria, standards, and procedures as
may be determined from time to time by the Membership Sub-Committee and
approved by the Club’s General Committee.
Without
limitation, such criteria may include considerations relating to an applicant’s
professional standing, career level, reputation, character, and overall
suitability for membership of the Club. Applicants may be required to submit
prescribed forms, references, credentials, and supporting documentation, and to
undergo such vetting, interviews, or verification processes as the Club may
deem necessary.
The
Club reserves the absolute discretion to approve or decline any application for
membership, without obligation to provide reasons, and subject always to
compliance with the Club’s constitution, by-laws, rules, and membership
policies as in force from time to time.
3.2
Membership Application Process
Any
person seeking admission into the Club (“Prospective Member” or “Candidate”)
shall comply strictly with the membership application process and conditions
prescribed by the Club from time to time. Without prejudice to the general
discretion of the Club, the application process shall include the following
steps:
I.
Initial Application (White Form): A Prospective Member shall, as a condition precedent to
consideration for membership, obtain and complete the prescribed White
Form upon payment of the applicable non-refundable fee. The White Form
must be obtained through a Financial Ordinary Member of the Club whose
membership has subsisted for a minimum of two (2) years, or through a Life
Member of the Club.
II.
Submission of Application: The
duly completed White Form, endorsed where required by relevant sectional
chairpersons, shall be submitted to the Membership Manager for processing.
III.
Screening and Interview: Upon
submission, the Membership Sub-Committee shall screen the candidate and may
invite the candidate and the proposer to attend an interview. During this
process, the Sub-Committee shall be entitled, at its discretion, to request and
review relevant documentation, including but not limited to marriage
certificates, evidence of professional or educational
qualifications, financial statements, audited accounts, or other
supporting documents deemed necessary for proper assessment only.
iV
. Issuance of Green Form:
Candidates adjudged suitable at the screening stage may be issued with the
prescribed Green Form upon payment of the applicable fees, in
addition to any prior fees paid for the White Form.
V.
Sponsorship and Secondment: The
Green Form shall be completed and supported by sponsorship and secondment from
two (2) Ordinary Members of the Club who: (a) are fully paid-up members; (b)
have been members of the Club for a minimum period of two (2) years; and (c)
have known the Candidate personally for a continuous period of not less than
five (5) years.
Vi.
Billing and Payment: The
completed Green Form shall be submitted to the Membership Office for the
preparation of the applicable bill. Upon payment of all prescribed fees, the
Candidate may be issued a temporary membership card, which shall remain valid
for a period not exceeding three (3) months from the date of issue and shall be
surrendered upon induction.
Vii.
Probation and Final Approval: A
Candidate issued with a Green Form shall be subject to a probationary period of
three (3) months. Upon satisfactory completion of this period and fulfillment
of the Committee’s initial requirements, the Candidate shall be invited to
formally meet with the Chairman, Trustees, and members of the General Committee
as a condition precedent to election as a member of the Club. Such meetings
typically take place on the second Tuesday of each month.
Vii.
Election and Induction: Where
the ballot following the meeting proves clear, the Candidate shall be elected
as an Ordinary Member of the Club and inducted in accordance with established
Club procedures. This election automatically extends membership privileges to
the Member’s spouse and eligible children, who shall be enrolled as a Spouse
Member and Junior Dependants, respectively. This inclusion remains
strictly subject to the Club’s Constitution and prevailing Bye-Laws, with the
primary Ordinary Member assuming full fiduciary and legal responsibility for
the conduct, financial obligations, and regulatory compliance of all dependents
integrated under their membership profile.
4.
USE OF THE WEBSITE
4.1
Permitted Use
Subject
to these Terms, you are granted a limited, non-exclusive, non-transferable, and
revocable right to access and use the Website solely for lawful purposes and in
a manner consistent with the objectives, values, and rules of the Club.
In using the Website, you agree that you shall not, whether directly or indirectly:
I. Use or attempt to use the Website in any manner that contravenes any
applicable law, regulation, court order, or regulatory guideline, or that
facilitates or promotes unlawful, fraudulent, or harmful activities.
II.
Access, attempt to access, or interfere with any portion of the Website,
systems, servers, databases, or networks that are restricted,
password-protected, or otherwise secured, except where you have been expressly
authorized to do so by the Club.
III.
Engage in any conduct that disrupts, interferes with, damages, impairs, or

automated scripts, bots, or any other harmful code or process.
IV.
Use the Website in a manner that imposes an unreasonable or disproportionate
load on the Club’s infrastructure, or that compromises the availability or

V.
Circumvent, disable, or attempt to bypass any security features, access
controls, or technological measures implemented by the Club to protect the
Website or its content.
The Club reserves the right, at its sole discretion, to restrict, suspend, or terminate access to the Website where any misuse, unauthorized activity, or breach of these Terms is detected or reasonably suspected.

If you are issued any login credentials, passwords, or other access credentials for the Club’s digital services, including member portals, you are solely responsible for maintaining the confidentiality and security of such credentials. RULES, PROHIBITIONS, AND STANDARDS OF CONDUCT
5.1
Compliance with Club Rules and Policies

members, spouse members, junior members, temporary members, and guests shall at
all times comply with the Club’s constitution, by-laws, house rules,
regulations, policies, and guidelines governing conduct within the Club’s
premises, participation in Club activities, and use of Club facilities,
services, and digital platforms, as may be issued or amended from time to time.
Failure
to comply with such rules and policies may result in disciplinary action in
accordance with the Club’s disciplinary procedures.
5.2
Prohibited Conduct
Without
prejudice to the generality of the foregoing, members and guests shall not,
whether on Club premises, at Club-organized events, or through the use of Club
facilities or digital platforms:

Engage in any conduct that is unlawful, discriminatory, harassing, abusive,
offensive, violent, indecent, or otherwise injurious to the dignity, safety, or
wellbeing of other members, guests, staff, or visitors;
II.
Use the Club’s facilities, amenities, name, logo, reputation, or digital
services for commercial, promotional, political, or profit-making purposes
without the prior written authorization of the Club;
III.
Willfully damage, misuse, tamper with, or negligently handle any Club property,
equipment, or facilities, or permit the same to be done by a guest;
IV. Act in a manner that brings, or is reasonably likely to bring, the Club into disrepute or prejudice its interests.
5.3
Guests and Member Responsibility
Members
shall remain fully responsible and accountable for the conduct, actions, and
omissions of their guests while on Club premises or participating in Club
activities. Members shall ensure that their guests are informed of, understand,
and strictly comply with all applicable Club rules, policies, and standards of
conduct.
Any breach of Club rules by a guest shall be deemed a breach by the sponsoring member and may attract disciplinary measures against the member in accordance with the Club’s rules and procedures.
6.
SUSPENSION AND TERMINATION OF MEMBERSHIP.
6.1
Grounds for Suspension/Termination
The
Club reserves the right to suspend or terminate membership where a member:
I.
Violates Club rules, regulations, or these Terms.
II.
Acts in a manner prejudicial to the Club’s interests.
III.
Fails to fulfill membership obligations, including payment of fees.
6.2
Disciplinary Action
The Disciplinary Committee may investigate alleged breaches and recommend actions, including reprimand, suspension, or termination.
7.
INTELLECTUAL PROPERTY RIGHTS
All
content, materials, and assets available on or through the Website, including
but not limited to text, images, graphics, logos, designs, trademarks, service
marks, software, audio-visual material, and other intellectual property
(“Content”), are the exclusive property of the Club or its licensors and
are protected under applicable copyright, trademark, and other intellectual
property laws, both domestic and international.

On October 8, 2024, Ikoyi Club 1938 donated Five Million Naira (#5,000,000) to the Rotary Club of Ikoyi in support of a 3-day breast cancer awareness and screening program. This initiative aims to aid the fight against breast cancer by providing essential health services to women in local communities who have limited access to healthcare. Recognizing the critical role of women in society, Ikoyi Club 1938 partnered with the Rotary Club of Ikoyi to raise awareness about the importance of regular breast screenings for early detection and diagnosis, which can be lifesaving. The regular breast screenings are essential for early detection of breast cancer, significantly increasing the chances of successful treatment and survival. Routine exams can identify cancer at an early stage, even before symptoms appear, which leads to more treatment options and less invasive procedures. For women, especially those in high-risk categories, undergoing regular breast screening is a proactive step toward maintaining health and preventing life-threatening complications. During the cheque presentation, Ikoyi Club Chairman Mr. Tafa Zibiri-Aliu, along with Vice Chairman Mr. Rufai Ladipo, General Manager/CEO Dr. Babatunde Orungbeja, and club member Mr. Afolabi Balogun, represented the club. The President of the Rotary Club of Ikoyi, Rtn. Emmanuel Ibukun Efuntayo, expressed heartfelt gratitude for the generous support, alongside Rtn. Edith Omo-Osagie, center manager of Lagos City Mall and a club member. They emphasized the positive impact of the partnership and prayed for continued blessings for Ikoyi Club 1938.
